1. About These Terms

These Terms of Service ("Terms") govern your use of the website at www.boruconsulting.com (the "Website") and, together with any applicable engagement letter, the provision of professional services by the Boru Consulting Group.

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

1.1 The Website Operator

The Website is owned and operated by Boru Global (UK) Limited (Company No. 14435343), registered in England and Wales, with its registered office at 23-24 Berkeley Square, London W1J 6HE ("we," "our," or "us"). We are supervised by HMRC for anti-money laundering purposes (Reg. No. XCML00000187357) and registered with Companies House as an Authorised Corporate Service Provider (Agent No. AP000267). Boru Global (UK) Limited t/a Boru Consulting.

Professional services may be delivered by Boru Global (UK) Limited, by Boru Consulting L.L.C-FZ (Company No. 2415755, Licence No. 2415755.01), registered in the United Arab Emirates, or by Boru Compliance Limited (Company No. 791783), registered in Ireland with its registered office at 77/78 South Main Street, Bandon, Co. Cork, P72 KF35, and trading as Boru Consulting (Business Name No. 769508), depending on the jurisdiction and the nature of the engagement. The relevant entity will be identified in your engagement letter. Boru Compliance Limited is a wholly owned subsidiary of Boru Global (UK) Limited.

1.2 Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by prominent notice on the Website at least 30 days before they take effect. Continued use constitutes acceptance.

2. Our Services

Boru Consulting Group provides corporate services, accounting, tax advisory, compliance, and related professional services. The scope, terms, and fees of any engagement are set out in a separate engagement letter.

Professional services are governed by the applicable engagement letter, which specifies scope, fees, the relevant entity, professional standards, and governing law. In case of conflict, the engagement letter prevails.

4. Disclaimer and Limitation of Liability

4.1 Website Content Disclaimer

We make no representations or warranties that Website content is accurate, complete, or current. The Website is provided "as is" and "as available."

4.2 Limitation - Website Use

To the fullest extent permitted by law, we exclude liability for loss or damage from Website use, including loss of profits, data, business opportunity, goodwill, or any indirect or consequential loss.

Nothing excludes liability for death or personal injury from negligence, fraud, or any liability that cannot be excluded by applicable law.

4.3 Limitation - Professional Services

Professional services liability is governed by the engagement letter. In the absence of one, aggregate liability shall not exceed total fees paid for the relevant services.

5. Anti-Money Laundering and Regulatory Obligations

Boru Global (UK) Limited is supervised by HMRC for AML (Reg. No. XCML00000187357) and registered as an ACSP (Agent No. AP000267) under the ECCTA 2023. Boru Compliance Limited is authorised by the Minister for Justice to operate as a Trust or Company Service Provider under the Criminal Justice (Money Laundering and Terrorist Financing) Act 2010 (as amended) (Cert No. 10507) and is supervised for anti-money laundering purposes by the Anti-Money Laundering Compliance Unit of the Department of Justice in respect of the trust or company services and the accounting and taxation services it provides. Boru Consulting L.L.C-FZ is licensed under UAE free zone regulations.

5.1 Client Due Diligence

We are required by law to carry out CDD under the MLR 2017, the Criminal Justice (Money Laundering and Terrorist Financing) Act 2010 (as amended) and equivalent legislation. We may not commence or continue services until satisfactory CDD is completed.

5.2 Right to Decline or Terminate

We reserve the right to decline to act for you, or to terminate an existing engagement, where:

We are not required to provide reasons and may be prohibited by law from doing so.

5.3 Suspicious Activity Reporting

We are required to report suspicious activity (in Ireland, to FIU Ireland and the Revenue Commissioners). We are prohibited from informing you if a report has been made or is being considered. Suspension of services for this reason does not constitute a breach of our obligations.

We maintain strict confidentiality. Exceptions:

We process personal data in accordance with our Privacy Policy and Cookie Policy, both available on the Website. These form part of these Terms.

8. Fees and Payment

Fees are set out in the engagement letter.

9. Termination

Either party may terminate per the engagement letter, or on 30 days' written notice in the absence of specific terms. We may terminate immediately where:

On termination, fees and disbursements to date are payable. Documents returned subject to retention obligations and any lien for unpaid fees.

10. Dispute Resolution

Contact us at corporate@boruconsulting.com. We acknowledge complaints within five business days and aim to respond substantively within 20 business days. Unresolved disputes may be referred to CEDR mediation (or, for engagements with Boru Compliance Limited, mediation under the Mediation Act 2017) before formal proceedings.

11. General Provisions

11.1 Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction. Where services are provided by Boru Compliance Limited or Boru Consulting L.L.C-FZ under a separate engagement letter, that letter's governing law applies (engagement letters issued by Boru Compliance Limited will ordinarily be governed by the laws of Ireland, with the Irish courts having jurisdiction).

11.2 Entire Agreement

These Terms, the applicable engagement letter, Privacy Policy, and Cookie Policy constitute the entire agreement.

11.3 Severability

Invalid provisions are modified to the minimum extent necessary or severed; remaining provisions continue.

11.4 Force Majeure

We are not liable for failure or delay from circumstances beyond reasonable control.

11.5 No Waiver

No failure or delay in exercising any right constitutes a waiver.

11.6 Third-Party Rights

No third-party rights are conferred under the Contracts (Rights of Third Parties) Act 1999.
